1. Acceptance of Terms

By creating an account, signing in, or using the NannyTime application, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding agreement between you and Nanny Time LLC ("Nanny Time," "we," "us," or "our").

2. Limited Pilot Release

The Service is currently offered as a limited pilot release ("Beta"). During the Beta period: (a) Features may change, be added, or be removed without advance notice. (b) Any tax-related calculations, pay-period summaries, payroll estimates, mileage tracking totals, or overtime computations provided by the Service are estimates only, furnished for informational purposes, and are NOT a substitute for the advice of a qualified tax professional, CPA, or payroll service. You should not rely on these figures for tax filing, withholding decisions, or any legal or regulatory compliance purpose. (c) Uptime and data-retention commitments do not apply during the Beta. (d) By participating in the Beta, you acknowledge that the Service may contain bugs, errors, or inaccuracies and accept the associated risks. Nanny Time LLC reserves the right to end the Beta program at any time.

3. The Service — What NannyTime Is and Is Not

NannyTime is a software tool that helps families manage childcare logistics, including time tracking, journaling, calendar tasks, child profile information, and (where authorized) medication scheduling reminders. NannyTime is NOT: a medical device, a healthcare provider, a pharmacy, a licensed childcare agency, an employer or staffing service, a background-check provider, or a substitute for professional medical, legal, financial, or childcare advice. The Service does not verify the identity, qualifications, certifications, training, or background of any user, including nannies. Vetting and supervising caregivers is solely your responsibility.

4. Eligibility & Account Responsibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for: (a) maintaining the confidentiality of your login credentials; (b) all activity occurring under your account; (c) the accuracy, completeness, and timely updating of all information you provide, including child profile data, medical information, allergies, dosage instructions, and emergency contacts; and (d) ensuring that anyone you invite to your family workspace is authorized to access that information.

5. Child Profile Data & Sensitive Information

You may choose to enter information about your children, including names, photographs, birthdates, allergies, medical conditions, dietary restrictions, behavioral notes, and other sensitive details. You represent and warrant that you have the legal authority to provide this information about each child. You are solely responsible for the accuracy of this information and for keeping it current. The Service displays this information to caregivers you have invited; Nanny Time LLC does not review, verify, or curate this content.

6. Medication Authorization & Administration — IMPORTANT

If you choose to use the Service to record, schedule, or authorize the administration of medication to your child, you acknowledge and agree that: (a) the Service is a record-keeping and reminder tool only and does not provide medical advice; (b) you are solely responsible for the accuracy of every medication name, dosage, schedule, and special instruction you enter or authorize, and for keeping that information current; (c) every medication you authorize is age-appropriate for your child and has been prescribed or approved by a licensed healthcare provider where required by applicable law; (d) you have trained, or will train BEFORE administration begins, the caregiver(s) you authorize in the proper handling of each medication, including measurement, timing, storage, signs of adverse reaction, and emergency response; (e) the caregiver acts on your written instructions and not on any suggestion, schedule, or advice from the Service or Nanny Time LLC; and (f) you release Nanny Time LLC, and its officers, employees, contractors, and affiliates, from any and all liability arising from the administration, mis-administration, non-administration, missed dose, late dose, or adverse reaction relating to any medication, whether or not the medication appears in the Service. This Section 6 supplements (and does not replace) the per-medication acknowledgement displayed in-app when you authorize the first medication for your family.

7. Acceptable Use

You agree NOT to: (a) upload content that is unlawful, infringing, defamatory, harassing, or that depicts another person’s child without that child’s parent’s consent; (b) attempt to access another family’s data; (c) use the Service to stalk, harass, or surveil any person beyond legitimate childcare-management purposes; (d) reverse engineer, decompile, or attempt to derive the source code of the Service; (e) use the Service in violation of any applicable law; or (f) introduce malware, attempt to overwhelm the Service, or otherwise interfere with its operation.

8. User Content & License Grant

You retain all rights to the content you upload (including journal entries, photographs, and child profile data). You grant Nanny Time LLC a worldwide, royalty-free, non-exclusive license to host, store, transmit, display, and otherwise process that content solely for the purpose of operating, securing, and improving the Service for you and the users you have authorized. Nanny Time LLC will not sell your content or use it to train third-party AI models without your separate, explicit consent.

9. Privacy

Your use of the Service is also governed by the NannyTime Privacy Policy, which is incorporated into these Terms by reference. You are responsible for understanding the Privacy Policy before providing any data — particularly information about minors.

10. Service Availability; No Warranty

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, timeliness, or that the Service will be uninterrupted, secure, error-free, or that reminders or notifications will be delivered. The Service may be modified, suspended, or discontinued at any time without notice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NANNY TIME LLC, ITS OFFICERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL AGGREGATE LIABILITY OF NANNY TIME LLC FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID NANNY TIME LLC FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless Nanny Time LLC, and its officers, directors, employees, contractors, agents, licensors, and affiliates, from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) the content or data you upload or authorize; (c) any medication you authorize for administration through the Service; (d) your violation of these Terms; (e) your violation of any law or third-party right (including the rights of any child or co-parent); and (f) any dispute between you and a caregiver, co-parent, or other user. Nanny Time LLC reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with the defense.

13. Termination

You may stop using the Service at any time. Nanny Time LLC may suspend or terminate your access at any time, with or without cause and with or without notice, including for violation of these Terms. Upon termination, your license to use the Service ends, but Sections 5, 6, 8, 10, 11, 12, 14, 15, and 16 survive.

14. Changes to These Terms

Nanny Time LLC may update these Terms from time to time. When material changes are made, we will notify users in-app and require renewed acceptance before continued use. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.

15. Governing Law & Venue (Utah)

These Terms are governed by, and construed in accordance with, the laws of the State of Utah, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and the parties consent to the personal jurisdiction and venue of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Miscellaneous

These Terms (together with the Privacy Policy and any in-app acknowledgements you accept) constitute the entire agreement between you and Nanny Time LLC regarding the Service and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions remain in full force. Failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without Nanny Time LLC’s prior written consent; Nanny Time LLC may assign these Terms in connection with a merger, acquisition, or sale of assets.
